Agreement to Our Legal Terms

We are Golden Kalala ('Company', 'we', 'us', or 'our'), registered in Poland. We operate the website https://www.mynative.online (the 'Site').

"Native Speaker" / "Native": Throughout this platform, the term "Native" refers to an independent contractor who provides instructional services. The term is for branding purposes and does not alter the legal nature of the professional relationship.

Notification of Changes: We reserve the right to modify these Terms. We will provide notice of material changes at least 30 days before they take effect via email or platform banners.

1OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable. The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

2INTELLECTUAL PROPERTY RIGHTS

Our intellectual property: We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the 'Content'), as well as the trademarks, service marks, and logos contained therein (the 'Marks'). Your use of our Services: Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable licence to access the Services and download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use or internal business purpose. Your submissions and contributions: By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services ('Submissions'), you agree to assign to us all intellectual property rights in such Submission.

3USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Services through automated or non-human means; (6) you will not use the Services for any illegal or unauthorised purpose; and (7) your use of the Services will not violate any applicable law or regulation.

4USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

5PURCHASES AND PAYMENT

We accept the following forms of payment: - Visa - Mastercard - American Express - Apple Pay - Google Pay - Blik You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information. We may change prices at any time. All payments shall be in Polish Złoty.

6POLICY

Please review our Return Policy posted on the Services prior to making any purchases.

7PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to: - Systematically retrieve data to create a database. - Trick, defraud, or mislead us and other users. - Circumvent, disable, or otherwise interfere with security-related features. - Use any info to harass, abuse, or harm another person. - Users are strictly prohibited from sharing, requesting, or soliciting personal contact information. All communications must take place exclusively through the MyNative platform.

8USER GENERATED CONTRIBUTIONS

The Services may invite you to chat, contribute to, or participate in blogs and other functionality. When you create or make available any Contributions, you thereby represent and warrant that the creation, distribution, and transmission of your Contributions do not and will not infringe the proprietary rights of any third party.

9CONTRIBUTION LICENCE

By posting your Contributions to any part of the Services, you automatically grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and licence to host, use, copy, reproduce, disclose, and distribute such Contributions for any purpose.

10GUIDELINES FOR REVIEWS

When posting a review, you must comply with: (1) firsthand experience; (2) no offensive profanity; (3) no discriminatory references; (4) no references to illegal activity; (5) no affiliation with competitors for negative reviews; (6) no false or misleading statements.

11SOCIAL MEDIA

As part of the functionality of the Services, you may link your account with online accounts you have with third-party service providers. By granting us access to any Third-Party Accounts, you understand that we may access, make available, and store any content that you have provided to and stored in your Third-Party Account.

12THIRD-PARTY WEBSITES

The Services may contain links to other websites ('Third-Party Websites') as well as articles and other content belonging to third parties. Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us.

13SERVICES MANAGEMENT

We reserve the right, but not the obligation, to: (1) monitor the Services for violations; (2) take appropriate legal action; (3) in our sole discretion, refuse, restrict access to, limit availability of, or disable any of your Contributions; (4) remove all files and content that are excessive in size.

14PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy: https://www.mynative.online/privacy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms.

15COPYRIGHT INFRINGEMENTS

We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes upon any copyright you own or control, please immediately notify us.

16TERM AND TERMINATION

These Legal Terms shall remain in full force and effect while you use the Services. WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES TO ANY PERSON FOR ANY REASON.

17MODIFICATIONS & INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We cannot guarantee the Services will be available at all times.

18GOVERNING LAW

These Legal Terms are governed by and interpreted following the laws of Poland. Golden Kalala and yourself both agree to submit to the non-exclusive jurisdiction of the courts of Bydgoszcz.

19DISPUTE RESOLUTION

Informal Negotiations: The Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days. Binding Arbitration: Any dispute arising from the relationships between the Parties shall be determined by one arbitrator chosen in accordance with the rules of the European Court of Arbitration.

20CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and to change or update information at any time, without prior notice.

21DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES.

22LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. OUR LIABILITY WILL BE LIMITED TO THE LESSER OF THE AMOUNT PAID OR 100 PLN.

23INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand made by any third party due to or arising out of your Contributions or use of the Services.

24USER DATA

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit.

25ELECTRONIC COMMUNICATIONS

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, and other communications we provide satisfy any legal requirement.

26CALIFORNIA USERS

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.

27MISCELLANEOUS

These Legal Terms and any policies posted by us constitute the entire agreement. Our failure to exercise or enforce any right shall not operate as a waiver. If any provision is determined to be unlawful, that provision is deemed severable.

28MARKETPLACE NATURE

MyNative acts solely as a technological intermediary (marketplace) between independent instructors and students. MyNative is not an employer, agent, or representative of any "Native" or "Native Speaker." We do not guarantee the quality, accuracy, or safety of any lessons provided.

29PLATFORM PAYMENT MANDATE

To maintain the security of our community, all financial transactions must be processed exclusively through our integrated Stripe payment system. Attempting to circumvent the platform's payment system is a material breach of these terms.

30CANCELLATION POLICY

Standard Cancellation: Lessons may be cancelled or rescheduled at no cost if the request is made at least 5 hours before the scheduled start time. Late Cancellation: If a lesson is cancelled or rescheduled less than 24 hours before the start time, the full lesson fee will be charged and is non-refundable.

31INDEPENDENT CONTRACTOR STATUS

Native Speakers are independent contractors and are solely responsible for their own taxes, business licenses, and legal compliance in their respective jurisdictions. MyNative does not withhold taxes or provide employee benefits.
